These Terms & Conditions govern your use of the Kate Keeps It Klean LLC ("K3," "we," or "our") website at katekeepsitklean.com, including any subdomains ("Website"). By accessing or using the Website, you ("User" — meaning any visitor to the K3 Website) agree to be bound by these Terms. This agreement is formed under the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Iowa Uniform Electronic Transactions Act (Iowa Code Chapter 554D). Your continued access to the Website constitutes ongoing acceptance of these Terms.

If you do not agree to these Terms, you must discontinue use of the Website immediately.

These Terms govern your use of the Website only. Use of the K3 Client Portal is separately governed by the K3 Client Portal Terms of Use. Your use of the Website is also subject to the K3 Privacy Policy, which is incorporated herein by reference. All data handling practices are defined in the K3 Privacy Policy, which controls in all cases involving personal information.

Document Hierarchy

In the event of any conflict between K3 legal documents, the following order of precedence applies:

1. The K3 Client Service Agreement controls on all matters related to service delivery
2. The K3 Privacy Policy controls on all matters related to personal information and data handling
3. The K3 Client Portal Terms of Use controls on matters related to portal system usage
4. These Website Terms & Conditions control on matters related to public website usage

This limitation applies only to the context governed by this document and does not override separate agreements governing other services or systems.

2. Purpose of the Website

The Website is provided for informational and inquiry purposes only, allowing Users to:

• Learn about K3 services and service areas
• Submit quote or service inquiries
• Contact K3 directly
• Access links to the K3 Client Portal (governed by separate terms)

The Website does not provide binding offers, service contracts, or guaranteed pricing. No legal obligation is created by K3 through the Website alone. Submission of any request through the Website does not constitute approval, scheduling, or confirmation of services.

3. No Contract Formation

Submission of a quote request, contact form, inquiry, or any other communication through the Website does not create a binding agreement between you and K3.

All services, pricing, availability, and scope of work are:

• Subject to review and assessment by K3
• Subject to explicit written confirmation by K3
• Subject to K3's acceptance in its sole discretion

A binding service agreement is formed only when services are explicitly scheduled and confirmed in writing under a separate K3 Service Agreement. No statement, estimate, or communication through the Website constitutes a binding offer or guarantee of service.

4. Estimates and Pricing

Any pricing information, estimates, or cost ranges displayed on or communicated through the Website are:

• Preliminary and informational in nature only
• Based on generalized assumptions and limited information
• Subject to change without notice
• Not a guarantee of final pricing

Final pricing is determined following assessment by K3 and is set forth in the K3 Service Agreement. Users should not rely on Website pricing information as a representation of actual cost. K3 expressly disclaims any liability arising from reliance on Website pricing information before a Service Agreement is executed.

5. Service Availability

Service availability is not guaranteed through the Website. K3 reserves the right to:

• Accept or decline any service request at its discretion
• Modify scheduling based on availability and operational capacity
• Adjust or limit scope of services offered
• Discontinue specific services or service areas without notice

Submission of a service inquiry does not guarantee availability or obligate K3 to provide services.

6. Accuracy of Website Content

K3 makes reasonable efforts to maintain accurate and current information on the Website. However, K3 does not warrant or represent that Website content is complete, current, accurate, or error-free at all times. Website content is for informational purposes only and does not constitute professional advice of any kind.

Service descriptions, availability, pricing ranges, and operational details are subject to change at any time without notice. Users are advised not to rely solely on Website content when making decisions about engaging K3 for services. K3 expressly disclaims any liability arising from reliance on Website content that has not been confirmed directly with K3.

7. User Submissions and Form Content

When you submit information through the Website's contact or quote forms, you represent and warrant that:

• You have the authority to submit the information provided
• Your submission does not infringe the rights of any third party
• Your submission complies with all applicable laws

By submitting information, you grant K3 a limited right to use that information solely for the purpose of responding to your inquiry and, if applicable, delivering requested services. K3 does not acquire ownership of submitted content, and you retain any rights you hold in the content you submit.

K3 reserves the right to disregard, delete, or report submissions that appear to be automated, fraudulent, abusive, or in violation of these Terms. K3 is not obligated to respond to every submission.

8. Acceptable Use

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You shall not:

• Use the Website for any unlawful, fraudulent, or harmful purpose
• Submit false, misleading, or inaccurate information
• Attempt unauthorized access to any Website system, server, or connected resource
• Probe, scan, or test the security of the Website without K3's explicit written authorization
• Interfere with or disrupt Website functionality, servers, or networks

9A. General Communications

By submitting an inquiry, quote request, or contact form through the Website, you consent to being contacted by K3 in connection with your request. Communication may occur via phone, email, or SMS (text message), using the contact information you provide.

9B. SMS Consent and Compliance

By providing your mobile phone number and submitting a form on the Website, you expressly consent to receive SMS (text) messages from K3 related to your service inquiry and any resulting service relationship. This consent is provided under the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227) and applicable FCC regulations.

Consent to receive SMS messages is not a condition of receiving a quote, scheduling services, or any other purchase or service from K3. You may receive services without providing SMS consent by contacting K3 directly via phone or email.

Standard message and data rates from your carrier may apply. Message frequency varies based on service activity.

9C. Opt-Out

You may opt out of SMS communications at any time by:

• Replying STOP to any SMS message from K3
• Contacting K3 directly using the information in Section 20

Following an opt-out request, K3 will send one final confirmatory message and discontinue non-essential SMS contact. K3 may still contact you via phone or email for service-related matters unless you request otherwise.

9D. No Unsolicited Marketing

K3 does not use SMS for unsolicited promotional marketing unrelated to your active inquiry or service relationship.

10. Privacy Policy and Data Handling

Your use of the Website is subject to the K3 Privacy Policy, which governs how K3 collects, uses, stores, and protects information submitted through or associated with the Website. The Privacy Policy is incorporated into these Terms by reference and controls in all cases involving personal information.

By using the Website, you acknowledge that you have reviewed the K3 Privacy Policy and agree to its terms.

12. Intellectual Property

12A. K3 Ownership

All content on the Website, including but not limited to text, images, graphics, logos, branding, design, layout, and software, is owned by or licensed to Kate Keeps It Klean LLC and is protected by applicable U.S. copyright, trademark, and intellectual property laws. Unauthorized reproduction, distribution, modification, or use of Website content is prohibited.

12B. Limited Browsing License

K3 grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Website and its content solely for the purpose of evaluating K3's services and communicating with K3. This license does not permit downloading, copying, reproducing, or distributing Website content for any commercial purpose or in any manner not expressly authorized by these Terms.

12C. Copyright Infringement / DMCA

K3 respects intellectual property rights and expects users to do the same. If you believe that content on the Website infringes your copyright, please notify K3 in writing at kate@katekeepsitklean.com with the subject line "DMCA Notice" and include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material claimed to be infringing and its location on the Website; (c) your contact information; (d) a statement of good faith belief; and (e) a statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner.

13. Disclaimer of Warranties

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. K3 DOES NOT WARRANT THAT THE WEBSITE WILL BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not permit the exclusion of implied warranties. In such jurisdictions, the foregoing exclusions apply to the maximum extent permitted by applicable law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, K3'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00), OR THE TOTAL AMOUNT PAID BY YOU TO K3 IN CONNECTION WITH THE SPECIFIC TRANSACTION OR INQUIRY GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

K3 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations do not apply to damages arising from K3's willful misconduct or fraud. This limitation applies only to the context governed by these Website Terms and does not override separate agreements governing other services or systems.

15. Indemnification

You agree to defend, indemnify, and hold harmless Kate Keeps It Klean LLC and its owners, employees, agents, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Website
• Your violation of these Terms
• Your violation of any applicable law or third-party right
• Inaccurate or incomplete information you submit through the Website

This indemnification obligation does not apply to claims arising from K3's own negligence or willful misconduct.

16. Force Majeure

K3 is not liable for any delay or failure to perform obligations under these Terms caused by circumstances beyond K3's reasonable control, including but not limited to natural disasters, power outages, internet service disruptions, third-party platform failures, acts of government, or other events outside K3's direct control.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Iowa, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or your use of the Website shall be resolved in the state or federal courts located in Story County, Iowa, and you consent to the personal jurisdiction of those courts.

18. Waiver and Severability

Failure by K3 to enforce any provision of these Terms shall not constitute a waiver of K3's right to enforce that provision in the future. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the K3 Privacy Policy, constitute the entire agreement between you and K3 with respect to your use of the Website and supersede all prior agreements, understandings, and representations regarding the same.

20. Changes to These Terms

K3 may update these Terms at any time. Material changes will be reflected in an updated version number and effective date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
